Dealer Terms.
These Dealer Terms apply to licensed motor vehicle dealers who apply to sell or do sell vehicles on GM Vault. They supplement — and do not replace — the Terms of Use, Seller Agreement, Vehicle Disclosure Statement, and Auction Rules.
Eligibility
- You must hold a valid motor vehicle dealer license in good standing in every jurisdiction in which you operate.
- You must have authority to bind your dealership to these terms.
- Your dealership and its principals must not be subject to suspension, revocation, or pending disciplinary action by any motor vehicle licensing authority.
Application and approval
Dealer accounts are subject to review and approval at GM Vault's sole discretion. We may request a copy of your dealer license, sales tax permit, government-issued ID of the principal, and proof of insurance. Approval may be withdrawn at any time.
Disclosure of dealer status
- Listings posted by dealers must clearly identify the seller as a licensed dealer.
- Dealers must disclose any material reconditioning, paintwork, repairs, prior commercial use, salvage/branded titles, and any material defects known to the dealer or that should reasonably have been discovered through ordinary pre-sale inspection.
- Photos and videos must depict the actual vehicle being sold — no stock or composite imagery.
Pricing, fees, and taxes
- Listing fees and the buyer's premium are as described in the Refund & Fee Policy.
- Dealers are responsible for collecting and remitting applicable sales, use, and excise taxes, and for handling title, registration, and documentation in accordance with the laws of the buyer's and dealer's jurisdictions.
- Doc fees, dealer prep fees, and any other dealer-specific charges must be disclosed on the listing before bidding opens.
Vehicle delivery and as-is sale
All vehicles on GM Vault are sold on an as-is, where-is basis between dealer and buyer; see the Vehicle Disclosure Statement. Dealers must:
- Make the vehicle available for in-person inspection by reasonable appointment prior to auction close.
- Hold the vehicle for the winning bidder for no less than 7 days after the auction closes, to allow for payment and pickup/transport arrangements.
- Provide a clean, transferable title (or appropriate equivalent paperwork) to the buyer promptly after funds clear.
Prohibited conduct
- Shill bidding — bidding on your own listing or arranging for others to do so.
- Off-platform solicitation of bidders to circumvent the buyer's premium or our terms.
- Misrepresenting condition, history, ownership, mileage, or title status.
- Failing to honor a sale to the winning bidder when the reserve is met (or when the auction is no-reserve).
Indemnification
Dealers agree to defend, indemnify, and hold GM Vault LLC harmless from any claim, loss, or expense (including reasonable attorneys' fees) arising out of a vehicle the dealer listed, the dealer's conduct on the platform, or the dealer's violation of these terms or applicable law.
Suspension and termination
We may suspend or terminate a dealer account at any time, with or without notice, for violation of these terms, the Terms of Use, the Seller Agreement, or the Auction Rules — or where, in our reasonable judgment, continued participation would harm members or the marketplace.
